TIDE SOCIAL STUDIO CUT-PAPER GRAPHICS: SINGLE-CREATOR COMMERCIAL LICENSE Version 1.0 This license covers the Free Cut-Paper Sampler, Color Club and After Hours files that you obtain directly from Tide Social Studio. The same permissions apply to the free and paid graphics. A paid collection provides more graphics; it does not provide exclusive rights or additional creator seats. 1. WHO MAY USE THE FILES One license covers one named person (the Creator). A business may obtain the license for an employee or contractor. The Creator may use multiple devices and private storage accounts. Every additional person who accesses or uses the reusable graphic files for creative reuse needs their own license for those graphics. The permitted finished-design display, client delivery, hosting and technical production access in sections 3 and 4 are exceptions; passive viewers and providers doing only that permitted technical handling do not need creator seats. A free sampler license can be obtained through Tide's own free download. A business may permanently replace its designated Creator when that person leaves the role, provided the former Creator loses access to and deletes the reusable files. Seats may not be pooled or rotated to cover multiple creators. 2. PERMISSION GRANTED Subject to these terms, Tide grants the Creator nonexclusive, worldwide permission to store, copy, resize, crop, recolor, modify and combine the supplied graphics for unlimited personal, business and client projects. The permission for the obtained version has no time limit unless terminated under section 9. No attribution to Tide or per-project royalty is required. For a paid collection, this permission begins after successful payment and acceptance of the license. The free sampler requires no payment. Permitted uses include social posts, advertisements, websites, email graphics, presentations, packaging, printed marketing, editorial content, and finished digital publications such as ebooks and reports. You may also sell physical goods, including print-on-demand goods, featuring a Finished Design. There is no numerical project, client or unit limit. A Finished Design combines the graphics with your own text, photography, illustration or other design work into a larger composition serving a distinct purpose. It must not function as a replacement for the supplied graphics. Recoloring, resizing, rotating, changing format or adding only a name or short caption to a supplied graphic does not make standalone asset resale permitted. 3. CLIENTS AND FINISHED DELIVERABLES You may charge clients for your work and deliver Finished Designs for public or private use. Clients and purchasers of permitted finished products may display, publish, print and distribute those Finished Designs. They do not need a separate license merely to receive or use a finished composition. They do not receive permission to extract or reuse the component graphics. For editable client files, either flatten the Tide graphics together with the other design content into a finished composition, or ensure each recipient who can access the graphics separately has their own license for them. Client text can remain editable above a flattened completed composition. Grouping, locking or hiding a separate graphic layer is not flattening. Do not hand over a reusable graphic library, blank template or raw PNG bundle. Ordinary display within a finished webpage is permitted, including necessary web-ready image files. This does not permit an asset-download gallery or an offer for visitors to extract and reuse the graphics. 4. PRIVATE TOOLS AND PRODUCTION SERVICES The Creator may upload files to a private Canva account or another private design workspace and keep reasonable working and backup copies. Shared asset libraries require a license for every creator with access. Public template links and public stock or asset libraries are not permitted. Printers, hosting providers and other technical production services may receive only the files needed to produce or host a permitted project for you or your client. They receive no independent right to reuse the graphics. Other people doing creative work with the reusable files need their own licenses. Follow the applicable editor, hosting and platform terms. 5. USES NOT INCLUDED You may not: - Sell, share, gift, sublicense or redistribute the supplied graphic files, individual components, or modified substitutes as reusable assets, whether alone or in a pack, membership, course, download or other bundle. - Sell or give away the graphics through multi-customer templates, including Canva templates, social-template packs, presentation templates or website themes. A completed client-specific design is governed by section 3. - Sell a supplied graphic essentially on its own as a sticker, art print, pattern, digital sticker or other product that substitutes for the asset. - Make the files available through a self-service design generator, stock library, public dataset or reusable asset-extraction service. - Use the supplied graphics as a logo or trademark, register them as a brand mark, or claim exclusive rights over the supplied graphics. - Imply that Tide endorses you or your product, or falsely claim that the supplied graphics were created entirely by you or entirely without AI. These restrictions also apply after you modify or combine the files. You may link others to Tide's sampler page so they can obtain their own copy. 6. AI ORIGIN AND RIGHTS Creative direction and curation were provided by Tide. The artwork was generated with AI from design instructions and prepared as transparent PNGs. The graphics are supplied on a nonexclusive basis. Similar graphics may exist or be generated for other people. Tide does not promise that every individual graphic is unique, eligible for copyright registration, or protected by copyright in every jurisdiction. Tide grants only the rights and permissions it can grant. These terms do not claim ownership of public-domain material, general shapes, ideas, or rights Tide does not hold. You and your clients keep your rights in your own original text, photos and other contributions. No exclusive ownership of the supplied graphics is transferred, and no third party's trademark or other rights are cleared by this license. Follow laws and platform rules for your end use. 7. FILES AND SUPPORT The product consists of transparent raster PNGs. Colors and paper texture are baked into the pixels; no editable vectors or font software are supplied. Pattern patches are single accents and are not seamless repeating tiles. Native dimensions are listed in the included inventory. The obtained version is covered. Future collections, major versions, customization and ongoing support are included only when expressly offered. For a missing, faulty or misdescribed file, contact hello@tidesocialstudio.com. 8. PURCHASES AND CONSUMER RIGHTS For paid products, payment, delivery and refunds also follow the purchase terms shown before checkout, including applicable merchant terms. Tide's current service policy offers a 14-day make-it-right or refund window for faulty or misdescribed digital products. That service window does not shorten any statutory guarantee, cancellation, refund or other mandatory right. Nothing in this license limits rights or remedies that cannot lawfully be limited. Tide does not guarantee sales results, exclusivity or trademark registrability. This license does not replace rights concerning faulty goods. 9. DURATION AND BREACH Tide may terminate permission for a material breach that you do not correct within 14 days after written notice. Deliberate public redistribution or resale of the reusable files may result in immediate termination, subject to applicable law. After termination, stop new uses and delete reusable files under your control. Finished Designs lawfully published or delivered before termination may continue to be used, including your own existing website compositions and posts; the restrictions on extracting graphics still apply. 10. AGREEMENT AND CONTACT This license is provided for review before you accept it at checkout or free download. The accepted version governs your obtained files. Later changes apply to later transactions unless you separately accept them. If these terms and Tide's general website terms differ about permitted use of these graphics, these product-specific permissions control that issue. Virginia law governs, subject to mandatory protections that apply where you live. An unenforceable provision does not affect the remaining provisions to the extent allowed by law.
