THE ANALYST'S REPORT METHOD, VERSION 3 SINGLE-USER COMMERCIAL CLIENT-SERVICES LICENSE License version 1.1 Effective date: October 2026 IMPORTANT This License explains how you may use The Analyst's Report Method, version 3. It is intended to let one person use the Product in a real, paid client-services business while protecting Tide's reusable guide, methodology materials, workbooks, prompts, templates, examples, and design. By purchasing, downloading, accessing, or using the Product, the Customer agrees to this License. If the Customer does not agree, the Product may not be used. This is a license to use the Product. It is not a sale or transfer of Tide's copyright or other intellectual property rights. 1. PARTIES AND DEFINITIONS "Tide" means Tide Social Studio, the licensor of the Product. "Customer" means the individual or organization that purchases the Product. "Authorized User" means one named natural person designated by the Customer to access and use the Product. If an organization purchases the Product, the license still covers only one Authorized User. "Product" means the purchased version of The Analyst's Report Method, version 3, and all files delivered with it, including the method guide, reporting workbook, client report template, quick reference, prompts, worked example, documentation, and accompanying materials. "Tide Materials" means Tide's original text, graphics, layouts, prompts, examples, documentation, and other copyrightable expression contained in the Product, including Tide's original selection and arrangement of that content and copies, extracts, adaptations, translations, exports, and converted or reformatted versions of those materials. Tide Materials do not include abstract formulas, ideas, processes, systems, methods, or a Customer's general skills or know-how. "Source Materials" means Tide Materials in a reusable form, including blank or partly completed templates, editable master files, reporting workbooks whether blank or populated, guides, prompt collections, quick references, worked examples, instructions, hidden or instructional slides, and any file or extract that could reasonably substitute for part of the Product. "Customer Content" means data, branding, text, analysis, recommendations, and other original material supplied or created by the Customer or a client, excluding Tide Materials. "Client Deliverable" means a finished, client-specific report, presentation, or similar work product created by the Authorized User using the Product and substantially populated with that client's data, analysis, recommendations, and/or branding. A file is not a Client Deliverable merely because a name, logo, color, or sample data has been changed. Source Materials are not Client Deliverables. 2. SINGLE-USER LICENSE GRANT Subject to this License, Tide grants the Customer a nonexclusive, worldwide, nontransferable, nonsublicensable license for one Authorized User to: a. install, store, and use the Product on devices and private storage accounts controlled by the Authorized User; b. make reasonable working copies and private backup copies; c. edit and customize the Product for the Authorized User's own permitted work; d. use the Product in paid or unpaid professional services for an unlimited number of clients and projects; and e. create, present, and deliver Client Deliverables to the clients for whom they were created. The Customer may charge any fee for its professional services. Tide does not claim any share of that fee. The license continues for the purchased version 3 unless it is terminated under Section 12. It does not include future versions, updates, customization, support, or maintenance unless Tide separately promises them in writing. 3. SEATS, DEVICES, AND BUSINESS CUSTOMERS The Product may be used by only one Authorized User at a time. Use on multiple devices and in a private cloud account controlled by that person is allowed. No other owner, employee, contractor, virtual assistant, collaborator, household member, or client may open, edit, copy, or use the Product or Source Materials unless that person has a separate license. Passive encrypted backup or administrative handling that does not provide use of the Product is allowed. The Authorized User designation may not be transferred, rotated, pooled, or temporarily shared. Each person who needs to use the Product or Source Materials must have a separate license. 4. CLIENT DELIVERABLES AND WHITE-LABEL USE The Authorized User may deliver a completed Client Deliverable to the specific client for whom it was created in PDF, PPTX, or another ordinary final-delivery format. A completed editable presentation may be delivered when it is fully populated and stripped of blank template pages, instructional copy, hidden instructional content, and standalone reusable assets that the client does not need. Theme, layout, and style elements reasonably necessary to render or edit that completed presentation may remain embedded in it. The Authorized User may replace Tide branding with the Customer's or client's branding in a Client Deliverable. The client may use, copy, and share that Client Deliverable within its own organization for its own internal business purposes. The client does not need a separate license merely to receive and use that completed Client Deliverable. The Customer may include rendered charts, completed tables, and values-only excerpts from a completed analysis in a Client Deliverable. The Customer may not give a client the method guide, reporting workbook, prompts, quick reference, worked example, blank or partly completed client report template, or any other Source Materials. A client receives no right to extract, reuse, adapt, or redistribute Tide's reusable template elements. With the client's permission, the Authorized User may display nonconfidential screenshots or excerpts of a completed Client Deliverable in a private proposal or public portfolio, provided the display does not expose Source Materials or allow a viewer to reconstruct or download a reusable Tide template. 5. PRIVATE AI-ASSISTED USE The Authorized User may paste individual prompts, upload a working workbook, and provide excerpts from the Product to an AI service solely to support a permitted client project or the Authorized User's own reporting work, provided that: a. the service is used through a private account, private project, or private conversation; b. the Customer has authority to submit all client data and follows client agreements, privacy obligations, and the AI provider's terms; c. unnecessary personal or confidential data is removed; d. available privacy or no-training controls are used where reasonably available; and e. the AI output is independently reviewed and verified by the Authorized User. Ordinary retention of a private project conversation by the AI provider is not, by itself, a violation of this License. The Product or any substantial part of it may not be placed in a public or shared custom assistant, GPT, prompt library, knowledge base, retrieval or vector database, fine-tuning dataset, training dataset, evaluation dataset, marketplace, or other persistent system that can expose, retrieve, teach, or reuse Tide Materials for other users, teams, clients, products, or projects. The Product may not be used to build, train, teach, or evaluate a competing AI product or reusable reporting assistant. 6. PROHIBITED USES Except for uses expressly allowed by Sections 4 and 5, the Customer may not, in whole or in part, in original or modified form, branded or unbranded, standalone or bundled: a. sell, resell, sublicense, rent, lend, assign, gift, publish, transmit, share, distribute, or otherwise make the Product, Tide Materials, or Source Materials available to another person; b. place Source Materials on a shared team drive, shared workspace, public website, public repository, file-sharing link, downloadable client portal, template library, marketplace, membership, community resource, or any location accessible by anyone other than the Authorized User; c. create, sell, or distribute a reusable or self-service product substantially derived from the Tide Materials, including a template, workbook, checklist, swipe file, prompt pack, guide, course, workshop, certification, training resource, membership resource, custom assistant, GPT, bot, software feature, SaaS product, automation, dataset, white-label kit, or competing reporting system; d. remove copyright or license notices from the Product or Source Materials; e. represent the Product or Tide Materials as the Customer's original product; or f. use Tide's name, logos, or trademarks to imply endorsement, sponsorship, or authorship. The Customer may apply general skills, ideas, and know-how learned while using the Product. This does not permit copying or repackaging Tide's protected expression, selection and arrangement, examples, prompts, templates, or other reusable materials. 7. OWNERSHIP The Customer and its clients retain their rights in Customer Content. Tide claims no ownership of a Customer's general skills, ideas, processes, systems, or know-how. Tide retains all rights in the Product and Tide Materials, including Tide elements that remain incorporated in a Client Deliverable. The Customer owns its original additions to a Client Deliverable, subject to Tide's continuing ownership of the underlying Tide Materials. Purchasing or possessing a copy of the Product does not transfer Tide's copyright, trademark rights, or ownership. All rights not expressly granted are reserved by Tide. 8. THIRD-PARTY MATERIALS Some documents were created using third-party font software, including Jost and Mr Dafoe, which are available under the SIL Open Font License, Version 1.1. The client report template carries the Jost font inside it so that it displays as designed. Jost is Copyright 2020 The Jost Project Authors, and its license is reproduced at the end of this file. Any third-party material remains subject to its own license. This License does not restrict rights granted directly under an applicable third-party license and does not grant a right to extract or redistribute embedded font software except as that third-party license permits. 9. CUSTOMER RESPONSIBILITIES The Customer is responsible for: a. having the necessary rights and client permissions for all data and materials used with the Product; b. protecting confidential and personal information; c. checking data accuracy, formulas, calculations, AI outputs, interpretations, and final claims; d. deciding whether a method or recommendation is appropriate for a particular client; and e. complying with applicable laws, contracts, platform rules, and professional obligations. 10. DISCLAIMERS The Product is an educational and operational aid. It is not legal, financial, accounting, tax, privacy, or individualized statistical advice. It does not establish causal attribution or statistical proof and does not replace qualified professional review when one is appropriate. The Product is provided "as is" and "as available." To the fullest extent permitted by law, Tide disclaims express and implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, noninfringement, and uninterrupted availability. Tide does not guarantee performance, revenue, growth, client retention, reporting outcomes, or any other result. Nothing in this License limits a right or remedy that cannot lawfully be excluded. 11. LIMITATION OF LIABILITY To the fullest extent permitted by law, Tide will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, business, goodwill, or opportunities arising from or related to the Product. To the fullest extent permitted by law, Tide's total aggregate liability arising from or related to the Product will not exceed the amount the Customer paid for the Product. These limitations do not apply where applicable law does not permit them. 12. TERMINATION Tide may terminate this License for a material breach that the Customer does not cure within 14 days after written notice. Tide may terminate immediately for intentional resale, public distribution, or deliberate placement of Source Materials in a public or shared knowledge system. After termination, the Customer and Authorized User must stop using and delete all copies of the Product and Source Materials under their control. The Customer does not need to recall or destroy Client Deliverables properly delivered before termination, and clients may continue using those deliverables for their internal business purposes. Sections concerning ownership, prohibited use, disclaimers, limitation of liability, and previously delivered Client Deliverables survive termination. 13. GENERAL TERMS This License incorporates Tide's Terms of Service at https://tidesocialstudio.com/terms. If this License conflicts with those Terms about permitted use of this Product, this License controls for that issue. Refunds, payment processing, and general website use remain governed by those Terms. Personal information is handled under Tide's Privacy Policy at https://tidesocialstudio.com/privacy. The applicable versions are the versions displayed when the Customer accepts this License. This License is governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles. The Customer may not assign or transfer this License. A failure to enforce a provision is not a waiver. If any provision is found unenforceable, the remaining provisions continue in effect. This License and the applicable Terms of Service are the complete agreement concerning use of the Product. A change to this License applies prospectively to future purchases unless the Customer separately accepts the change for an existing purchase. 14.
